Legal Studies – Venture Capital & Equity Structure
Location: Remote

 Team: Legal & Corporate Governance

Responsibilities

• Advise on cap table structuring, investor rights, and founder/partner equity distribution.
• Support the setup and optimization of employee option pools and equity-based incentive mechanisms.
• Draft and review legal documents for fundraising rounds (SAFE, Convertible Notes, Equity Purchase Agreements, Shareholders Agreements, etc.).
• Ensure compliance with corporate governance and VC-related regulations.
• Collaborate with founders, finance, and HR teams to align legal structure with business growth strategy.
• Liaise with external law firms and VC partners when necessary.

Requirements

• Pursuing a degree in legal studies or pre-law
• Interest in corporate/venture law.
• Prior exposure to venture capital material 
• Familiarity with cap table software/tools (e.g., Carta, Pulley, Eqvista) is a plus.
• Strong knowledge of corporate governance, shareholder agreements, and option pool structures.
• Detail-oriented, proactive, and able to work in a fast-paced startup environment.
